1. Introduction
These Terms & Conditions (“Terms”) govern your use of the Weltraum PMS / POS software and services (“Services”), operated by Weltraum Software Private Limited. (“Company”, “we”, “our”).
By accessing or subscribing to our Services, you agree to these Terms, our Privacy Policy, and applicable laws including Indian IT Act, GST regulations, RBI guidelines, and international export laws.
2. Eligibility
- You must be at least 18 years old to use our Services.
- If you are registering on behalf of a company, you confirm that you have the authority to bind the company to these Terms.
3. Subscriptions & Billing
- Our Services are provided on a subscription basis (monthly, quarterly, annual, or custom).
- All fees are payable in INR (domestic customers) or USD/EUR/GBP (international customers).
- Payments are processed via Stripe, Razorpay, PayPal, or RBI-authorized banks.
- For exports, invoices are raised under GST Export rules (LUT/without IGST) and FIRC certificates are maintained as per RBI requirements.
Renewals & Cancellations
- Subscriptions auto-renew unless cancelled before the renewal date.
- Cancellation stops future billing; no refunds for unused periods unless required by law.
Taxes
- Indian customers: GST is applicable and shown on invoices.
- International customers: Zero-rated GST export invoices will be issued under LUT.
4. Use of Services
- You are granted a non-exclusive, non-transferable license to use our SaaS products.
- You agree not to misuse the Services, including but not limited to:
- Reverse engineering or copying code.
- Sharing accounts or unauthorized access.
- Using Services for unlawful activities.
5. Data & Compliance
- You retain ownership of your business data stored in our Services.
- We process and store data in compliance with GDPR, Indian IT Act, RBI, and GST/STPI rules.
- You authorize us to generate invoices, reports, and compliance documents (GST, FIRC, STPI) on your behalf as required.
6. Service Availability
- We strive for 99.9% uptime, but Services may be interrupted for maintenance or unforeseen issues.
- We are not liable for downtime caused by internet providers, third-party platforms, or force majeure events.
7. Intellectual Property
- All software, trademarks, and content remain the property of Weltraum Software Private Limited.
- You may not copy, distribute, or create derivative works without written permission.
8. Limitation of Liability
- To the maximum extent permitted by law, our liability is limited to the subscription fees paid in the last 6 months.
- We are not responsible for:
- Loss of data due to user error.
- Business losses (revenue, profit, goodwill).
- Third-party service failures (payment gateways, hosting providers).
9. Termination & Suspension
We may suspend or terminate your account if you:
- Violate these Terms.
- Fail to pay subscription fees.
- Misuse the Services.
You may terminate your subscription at any time, subject to Section 3 (Billing & Refunds).
10. Governing Law & Dispute Resolution
- These Terms are governed by Indian law.
- Any disputes shall be subject to the jurisdiction of the courts in Bengaluru, Karnataka, India.
- For international users, disputes may be resolved through arbitration under UNCITRAL rules, seated in India.
11. Changes to Terms
We may update these Terms to reflect legal, technical, or business changes. Updates will be notified on our website.
